GIANT FRANCE - CONDITIONS GENERALES DE VENTE EN LIGNE

ARTICLE 1 - DEFINITIONS
Les termes définis ci-après auront les significations suivantes dans les présentes conditions générales de vente :
« Giant » : désigne Giant France, société à responsabilité limitée au capital de 4 200 000 euros, dont le siège social est situé 780 Rue Rue Jean René Guillibert Gauthier de la Lauzière, Pichaury 2- Les Milles, 13290 Aix-en-Provence, France, immatriculée au registre du commerce et des sociétés d’Aix-en-Provence sous le numéro 343 804 274, dont le numéro d’identification TVA est FR00343804274.
« Giant Store » : désigne le magasin membre du réseau Giant, distribuant uniquement des Produits de la marque Giant sous l’enseigne « Giant Store » et exploitant le site Internet par l’intermédiaire duquel le Client se connecte en vue de la commande de Produits. « Revendeur Giant » : désigne tout magasin membre du réseau Giant, distribuant les Produits de la marque Giant. La liste actualisée de l’ensemble des Revendeurs Giant est accessible à l’adresse suivante https://www.giant-bicycles.com/fr/revendeurs
« Client » : désigne toute personne physique qui procède à l’achat de Produits sur le Site à des fins n’entrant pas dans le cadre de son activité commerciale, industrielle, artisanale ou libérale.
« Produits » : désignent les produits commercialisés par Giant par l’intermédiaire du Site, comprenant notamment, sans que cette liste ne soit limitative : vélos le cas échéant, cadres le cas échéant, pièces détachées et accessoires pour vélos.
« Site » : désigne le site web des Giant Stores accessibles par l’intermédiaire d’un lien figurant à l’adresse suivante : https://www.giant-bicycles.com/fr/revendeurs
ARTICLE 2 - OBJET
- Les présentes conditions générales ont pour objet de définir le cadre contractuel applicable à l’achat par le Client des Produits commercialisés par Giant par l’intermédiaire du Site.
- Les présentes conditions générales forment l’ensemble des dispositions contractuelles régissant, dans ce cadre, les rapports entre Giant et le client.
- L’achèvement complet de la procédure de passation de commande visée à l’Article 3 suppose l’acceptation pleine et entière des présentes conditions générales concomitamment communiquées au client.
ARTICLE 3 - PASSATION DE COMMANDE
Toute commande d’un Produit sur le Site nécessite le parfait achèvement de l’ensemble des étapes suivantes :
- Le Client doit d’abord se connecter sur le site Internet de Giant France ou le site internet du Giant Store;
- Ensuite, le Client doit sélectionner chaque Produit désiré, puis l’ajouter à son panier en cliquant sur le lien « + Ajouter à mon panier », le Client pouvant alors modifier la quantité de chaque Produit ainsi ajouté à son panier ;
- Une fois complétée sa commande, sur la page « Mon panier », le Client doit ensuite cliquer sur le bouton « Valider » pour finaliser ladite commande ;
- A l’étape suivante, le Client doit saisir son adresse de courrier électronique et les adresses de facturation et de livraison (si différentes). Le Client peut opter pour une livraison à domicile ou un retrait dans le Giant Store ;
- Enfin, à la dernière étape, le Client doit régler le montant total de sa commande.
Le Client est informé du fait que, avant validation définitive sa commande, Giant lui offre la possibilité (i) de vérifier le détail de ladite commande et son prix total, (ii) d’identifier les éventuelles erreurs commises dans la saisie des données et (iii) de les
Après validation définitive de la commande par le Client, Giant accuse réception de ladite commande en adressant un email à cet effet à l’adresse communiquée par les corriger.
ARTICLE 4 - PRIX, FACTURATION ET PAIEMENT
- Les prix des Produits vendus par l’intermédiaire du Site sont indiqués en euros et s’entendent toutes taxes comprises (« TTC ») et hors frais de livraison dont le montant est mentionné sur le Site.
- Tout Produit commandé par le Client est facturé par Giant sur la base du prix TTC et des frais de livraison mentionnés lors de l’achèvement complet du processus de passation de commande décrit à l’Article 3.
- Chaque facture émise par Giant conformément aux stipulations des Articles 1 et 4.2 est payable selon les modalités décrites à l’Article 3.1.
- Le Client est expressément informé du fait qu’aucune commande ne peut être préparée, ni expédiée, tant que son prix total n’aura pas été intégralement réglé.
ARTICLE 5 - LIVRAISON
- Le Client peut opter pour un retrait dans le Giant Store, ou pour une livraison à domicile si son panier ne contient aucun vélo ou cadre de vélo, en France métropolitaine.
- Sous réserve des stipulations de l’Article 4, Giant s’engage à livrer, à l’adresse indiquée par le Client lors de la procédure de commande ou au Giant Store, le (ou les) Produit(s) commandé(s) par le Client dans le délai maximal de dix (10) jours ouvrables à compter de la réception par le Client de l’accusé de réception de commande visé à l’Article 3.3.
- Le Client est informé par courrier électronique de la disponibilité de sa commande lorsque celle- ci est disponible dans le Giant Store.
A défaut de retrait dans un délai maximal de dix (10) jours ouvrables à compter de l’envoi de ce courrier électronique, le Giant Store tente de contacter le Client par tous moyens utiles. En cas d’échec, le Client est informé par courrier électronique de l’annulation de la vente et est remboursé du montant du (ou des) Produit(s) commandé(s), à l’exclusion des frais de port.
ARTICLE 6 - TRANSFERT DES RISQUES
- Le transfert des risques inhérents à un Produit intervient lors de la réception par le Client du Produit.
- En cas de retour d’un Produit par le Client en application de la garantie commerciale ou d’une garantie légale, les risques sont transférés au Revendeur Giant choisi par le Client à compter de la réception ou de la restitution du Produit concerné.
- En cas de retour d’un Produit par le Client consécutif à l’exercice de son droit de rétractation, les risques sont transférés au Giant Store à compter de la réception ou de la restitution du Produit concerné.
ARTICLE 7 - DROIT DE RETRACTATION
- Conformément aux dispositions de l’article 221-18 et suivants du Code de la consommation, le Client dispose d’un délai de quatorze jours francs pour exercer son droit de rétractation, sans avoir à fournir de motif, en renvoyant au Giant Store le formulaire type disponible ici ou au moyen d'une déclaration dénuée d'ambiguïté (par exemple, lettre à cet effet envoyée à l’adresse ou par courrier électronique au Giant Store).
- Le délai de rétractation court à compter de la réception par le Client du Produit à l’adresse de livraison indiquée lors de la commande ou de son retrait dans le Giant Store.
- Au plus tard dans les quatorze jours francs suivant la communication de sa décision de se rétracter à Giant, le Client s’engage à restituer ou à renvoyer le (ou les) Produit(s) commandé(s) au Giant Store, l’adresse de ce dernier ayant été communiquée au Client dans l’email de confirmation de commande.
- Il est expressément convenu que les frais de renvoi des Produits commandés sont à la charge exclusive du client.
- Sous réserve de la restitution ou du renvoi au Giant Store du (ou des) Produit(s) commandé(s) dans le délai précité, le remboursement interviendra au plus tard dans les quatorze jours francs à compter de la date à laquelle Giant a été informé de la décision du Client de se rétracter. Le Client reconnait et accepte toutefois que Giant pourra différer le remboursement jusqu’à récupération du (ou des) Produit(s) correspondant(s) par le Giant Store ou jusqu’à ce que le Client ait fourni une preuve de l’expédition de ces Produits au Giant Store, la date retenue étant celle du premier de ces faits.
- Sous réserve des dispositions de l’Article 5, Giant procèdera au remboursement de tous les paiements reçus du Client, y compris les frais de livraison (à l'exception des frais supplémentaires résultant du choix par le Client d’un mode de livraison plus coûteux que le mode de livraison standard proposé par Giant) en utilisant le même moyen de paiement que celui utilisé par le Client pour la transaction initiale, sauf accord exprès du Client pour un moyen différent. En tout état de cause, le remboursement n'occasionnera pas de frais pour le Client.
ARTICLE 8 - GARANTIE COMMERCIALE
- La présente garantie commerciale ne fonctionne que pour les Produits neufs et peut être mise en œuvre pendant les durée maximales définies ci-dessous à compter de la date de livraison des Produits concernés :
- Cadres, sauf les modèles destinés à une pratique de VTT de descente (DH) et les VAE (Vélos à Assistance Electrique) => Garantie à vie (vélos vendus à partir du 21 septembre 2012)
- Toutes les fourches rigides => Garantie de 10 ans (garantie légale de 2 ans + 8 ans de garantie commerciale)
- Cadres des modèles destinés à une pratique de VTT de descente (DH) => Garantie de 3 ans (garantie légale de 2 ans + 1 an de garantie commerciale)
- Cadres des VAE (Vélos à Assistance Electrique) => Garantie de 10 ans (garantie légale de 2 ans + 8 ans de garantie commerciale)
- Peintures, vernis et décalcomanies => Garantie d'1 an (garantie commerciale unique d'1 an)
- Pour mettre en œuvre la présente garantie, le Client doit conserver la facture d’achat relative au Produit défectueux ou non conforme.
Le Client devra s’adresser à un Revendeur Giant qui fera une première inspection technique pour déceler le problème et indiquera au Client si la garantie commerciale est susceptible de fonctionner. Le cas échéant, le Revendeur Giant enverra le cadre à Giant. Toutefois, le Client est expressément informé que seul le service après-vente de Giant pourra déterminer si la présente garantie commerciale peut être mise en œuvre.
- Les cadres repeints par le Client ou par une société ne sont plus couverts par la présente En effet, Giant ne peut s’assurer de la bonne utilisation des produits, et du bon choix de ceux-ci. Ils peuvent avoir endommagés le cadre. »
ARTICLE 9 - GARANTIES LEGALES
Les Produits vendus par Giant au Client bénéficient :
- de la garantie légale de conformité dans les conditions prévues aux articles 217-4 et suivants du Code de la consommation et,
- de la garantie légale des vices cachés dans les conditions prévues aux articles 1641 et suivants du Code civil.
Le Client peut agir en garantie légale de conformité et/ou en garantie légale des vices cachés en s’adressant à un Revendeur Giant.
Lorsqu'il agit en garantie légale de conformité, le Client est expressément informé qu’il :
- bénéficie d'un délai de deux (2) ans à compter de la livraison du Produit pour agir ;
- peut choisir entre la réparation ou le remplacement du Produit, sous réserve des conditions de coût prévues par l'article 217-9 du code de la consommation ;
- est dispensé de rapporter la preuve de l'existence du défaut de conformité du Produit durant les six (6) mois suivant la livraison du Ce délai est porté à vingt-quatre (24) mois à compter du 18 mars 2016, sauf pour les biens d'occasion.
La garantie légale de conformité s’applique indépendamment de la garantie commerciale visée à l’Article 8.
Sans préjudice de la garantie commerciale visée à l’Article 8 et de la garantie légale de conformité visée au présent Article, le Client peut décider de mettre en œuvre la garantie contre les défauts cachés de la chose vendue au sens de l'article 1641 du code civil. Le cas échéant, il peut choisir entre la résolution de la vente ou une réduction du prix de vente conformément à l'article 1644 du code civil.
Conformément à l’article L. 217-15 du Code de la consommation, les stipulations des articles L. 217-4, L. 217-5, L. 217-9, L. 217-12, et L217-16 dudit Code ainsi que les stipulations de l'article 1641 et du premier alinéa de l'article 1648 du Code civil sont intégralement reproduites ci-dessous :
- Article 217-4 du Code de la consommation :
« Le vendeur livre un bien conforme au contrat et répond des défauts de conformité existant lors de la délivrance. »
- Article 217-5 du Code de la consommation :
« Le bien est conforme au contrat :
1° S'il est propre à l'usage habituellement attendu d'un bien semblable et, le cas échéant :
- s'il correspond à la description donnée par le vendeur et possède les qualités que celui-ci a présentées à l'acheteur sous forme d'échantillon ou de modèle ;
- s'il présente les qualités qu'un acheteur peut légitimement attendre eu égard aux déclarations publiques faites par le vendeur, par le producteur ou par son représentant, notamment dans la publicité ou l'étiquetage ;
2° Ou s'il présente les caractéristiques définies d'un commun accord par les parties ou est propre à tout usage spécial recherché par l'acheteur, porté à la connaissance du vendeur et que ce dernier a accepté. »
- Article 217-9 du Code de la consommation :
«En cas de défaut de conformité, l'acheteur choisit entre la réparation et le remplacement du bien.
Toutefois, le vendeur peut ne pas procéder selon le choix de l'acheteur si ce choix entraîne un coût manifestement disproportionné au regard de l'autre modalité, compte tenu de la valeur du bien ou de l'importance du défaut. Il est alors tenu de procéder, sauf impossibilité, selon la modalité non choisie par l'acheteur. »
- Article 217-12 du Code de la consommation :
« L'action résultant du défaut de conformité se prescrit par deux ans à compter de la délivrance du bien. »
- Article 217-16 du Code de la consommation :
« Lorsque l'acheteur demande au vendeur, pendant le cours de la garantie commerciale qui lui a été consentie lors de l'acquisition ou de la réparation d'un bien meuble, une remise en état couverte par la garantie, toute période d'immobilisation d'au moins sept jours vient s'ajouter à la durée de la garantie qui restait à courir.
Cette période court à compter de la demande d'intervention de l'acheteur ou de la mise à disposition pour réparation du bien en cause, si cette mise à disposition est postérieure à la demande d'intervention.»
- Article 1641 du Code civil :
« Le vendeur est tenu de la garantie à raison des défauts cachés de la chose vendue qui la rendent impropre à l'usage auquel on la destine, ou qui diminuent tellement cet usage que l'acheteur ne l'aurait pas acquise, ou n'en aurait donné qu'un moindre prix, s'il les avait connus. »
- Premier alinéa de l'article 1648 du Code civil :
« L'action résultant des vices rédhibitoires doit être intentée par l'acquéreur dans un délai de deux ans à compter de la découverte du vice. »
ARTICLE 10 - PROPRIETE INTELLECTUELLE
Le nom de domaine, ainsi que l’ensemble des éléments et contenus figurant sur le Site, sont la propriété exclusive de Giant et sont protégés, pour le monde entier, au titre des droits d'auteur et de propriété intellectuelle.
Leur reproduction, même partielle, est strictement interdite, sauf autorisation préalable et expresse de Giant.
Dans les mêmes conditions, leur utilisation est limitée à un usage strictement privé.
Toute reproduction ou toute autre utilisation est constitutive de contrefaçon et sanctionnée comme telle au titre du Code de la propriété intellectuelle, sauf autorisation préalable et expresse de Giant.
ARTICLE 11 - DONNEES PERSONNELLES
- La communication à Giant par le Client, lors du processus de commande décrit à l’Article 3, des données à caractère personnel le concernant est nécessaire pour la conclusion et l’exécution du Contrat. Ces données sont collectées et traitées conformément règlement européen sur la protection des données personnelles (RGPD) entré en application au 25 mai 2018, aux fins d’exécution dudit Contrat et de la promotion des activités de Giant, ainsi qu’à des fins purement statistiques.
- Le Client est expressément informé du fait que les données à caractère personnel le concernant pourront, sous réserve de son accord exprès, être transférées au Giant Store.
- Giant est responsable du traitement visé à l’Article 1, ledit traitement ayant fait l’objet d’une déclaration préalable auprès de la Commission Nationale de l’Informatique et des Libertés.
Le Client dispose d’un droit d’accès, d’un droit de rectification et d’un droit de suppression des données à caractère personnel le concernant. Le Client peut également s’opposer, pour des motifs légitimes, au traitement des données le concernant. ARTICLE 12 - MEDIATION
Conformément aux dispositions du Code de la consommation concernant le règlement amiable des litiges, Giant France adhère au Service du Médiateur du e-commerce de la FEVAD (Fédération du e-commerce et de la vente à distance) dont les coordonnées sont les suivantes : 60 Rue La Boétie – 75008 Paris – http://www.mediateurfevad.fr. Après démarche préalable écrite des consommateurs vis-à-vis de Giant France, le Service du Médiateur peut être saisi pour tout litige de consommation dont le règlement n’aurait pas abouti. · Content and advertising information: If you interact with any third party content or advertising on a Site or in an App (including third party plugins and cookies) we receive Personal Data from the relevant third party provider of that content or advertising.
· Third party information: We collect or obtain Personal Data from third parties who provide it to us (e.g., credit reference agencies; law enforcement authorities; etc.).
(C) Creation of Personal Data

We Process the following categories of Personal Data about you:

· Demographic information: gender; date of birth / age; nationality; salutation; title; and language preferences.
· Contact details: correspondence address; shipping address; telephone number; email address; details of Personal Assistants, where applicable; messenger app details; online messaging details; and social media details.
· Consent records: records of any consents you have given, together with the date and time, means of consent and any related information (e.g., the subject matter of the consent).
· Purchase details: records of purchases and prices; and consignee name, address, contact telephone number and email address.
· Payment details: invoice records; payment records; billing address; payment method; bank account number or credit card number; cardholder or accountholder name; card or account security details; card ‘valid from’ date; card expiry date; BACS details; SWIFT details; IBAN details; payment amount; payment date; and records of cheques.
· Data relating to our Sites and Apps: device type; operating system; browser type; browser settings; IP address; language settings; dates and times of connecting to a Site; App usage statistics; App settings; dates and times of connecting to an App; location data, and other technical communications information (some of which may constitute Personal Data); username; password; security login details; usage data; aggregate statistical information.
· Employer details: where you interact with us in your capacity as an employee of a third party, the name, address, telephone number and email address of your employer, to the extent relevant.
· Content and advertising data: records of your interactions with our online advertising and content, records of advertising and content displayed on pages or App screens displayed to you, and any interaction you may have had with such content or advertising (e.g., mouse hover, mouse clicks, any forms you complete in whole or in part) and any touchscreen interactions.
· Views and opinions: any views and opinions that you choose to send to us, or publicly post about us on social media platforms.
(E) Sensitive Personal Data

We do not seek to collect or otherwise Process Sensitive Personal Data. Where we need to Process Sensitive Personal Data for a legitimate purpose, we do so in accordance with applicable law. |
We do not seek to collect or otherwise Process Sensitive Personal Data in the ordinary course of our business. Where it becomes necessary to Process your Sensitive Personal Data for any reason, we rely on one of the following legal bases:
· Compliance with applicable law: We may Process your Sensitive Personal Data where the Processing is required or permitted by applicable law (e.g., to comply with our diversity reporting obligations);
· Detection and prevention of crime: We may Process your Sensitive Personal Data where the Processing is necessary for the detection or prevention of crime (e.g., the prevention of fraud);
· Establishment, exercise or defence of legal rights: We may Process your Sensitive Personal Data where the Processing is necessary for the establishment, exercise or defence of legal rights; or
· Consent: We may Process your Sensitive Personal Data where we have, in accordance with applicable law, obtained your prior, express consent prior to Processing your Sensitive Personal Data (this legal basis is only used in relation to Processing that is entirely voluntary – it is not used for Processing that is necessary or obligatory in any way).
If you provide Sensitive Personal Data to us, you must ensure that it is lawful for you to disclose such data to us, and you must ensure a valid legal basis applies to the Processing of those Sensitive Personal Data.
(F) Purposes of Processing and legal bases for Processing

If you choose to interact with any such advertising, plugins or content, your Personal Data may be shared with the relevant third party provider.
